These Terms and Conditions of Use (the "Terms of Use") apply to the Parish Pix, LLC web site located at www.parishpix.com and all associated sites linked to www.parishpix.com by Parish Pix, LLC, its subsidiaries and affiliates, including Parish Pix, LLC sites around the world (collectively, the "Site"). The Site is the property of Parish Pix, LLC. ("Parish Pix, LLC") and its licensors.

‍BY USING THE SITE, YOU AGREE TO THESE TERMS OF USE; IF YOU DO NOT AGREE, DO NOT USE THE SITE.

1. CLIENT RESPONSIBILITY FOR PROPERTY

Please make sure the house/property is ready to be photographed by preparing according to the following link. www.parishpix.com. If user/agent is not present at the shoot Parish Pix, LLC will shoot "as is" and will not take responsibility for clutter or unwanted items in the picture. If user/agent is present the user/agent may reserve the right to verbally cancel on scene if these guidelines have not been followed and a $50 late cancellation fee will apply. In the case of high winds, thunderstorms or other hazardous conditions, the photographer reserves the right to determine if he/she can proceed with the current weather conditions and if negative weather could impact the photoshoot. If the photographer needs to return in order to finish the assignment, the client will NOT be responsible for the additional expense due to weather.

2. SAFETY

In the case that Parish Pix, LLC's photographers feel the home and/or property is unsafe to the photographer or their equipment in any way while on site, the photographer has the right to leave the scene immediately regardless of progress.

3. COMMUNICATIONS

Parish Pix, LLC may communicate with you through telephone, e-mail, text or by posting notice and messages on Facebook and other forms of social media, which client agrees to. Client agrees to allow Parish Pix, LLC to display Client products, property information and agent information on certain Parish Pix, LLC owned websites and/or any social media.

4. MATERIAL STORAGE

Parish Pix, LLC will keep the ordered material on file for up to 6 months after the date of the shoot. Parish Pix, LLC is not responsible for material deleted earlier through no fault of its own.

5. DELIVERY

Parish Pix, LLC will make every attempt to deliver all edited images to your personal Parish Pix, LLC account by 12:00 p.m. on the day after the photo shoot. If Parish Pix, LLC is unable to do so, the images will be delivered within a reasonable time next day.

6. CANCELLATION POLICY

A late cancelation charge of $50 will apply to your account in the event of a cancellation; only if photographer has made it to the property and cannot finish the project.

7. COPYRIGHT

All Parish Pix, LLC products displayed on the Internet, including but not limited to, text, photographs, images, graphics, computer code, sound, music, art, "look and feel" and intellectual property are the sole property of Parish Pix, LLC. Clients are allowed unlimited use of or access to the products for their own marketing purposes (third party brochures, magazines, flyers, website, etc.) Clients may NOT resell, share, or copy any of Parish Pix, LLC's products to a third party. Continued use of Parish Pix, LLC's products in violation of this agreement may result in legal action.

8. COMPLAINTS

In the event that you are unsatisfied with the delivered product please contact our office within 48 hours of receiving the product. Parish Pix, LLC shall have the sole discretion to determine if the quality of the delivered product lives up to Parish Pix, LLC's standard and if revisions should occur. If not remedial services may be subject to additional charges.

9. PROMOTIONS AND OTHER TERMS AND CONDITIONS

Additional terms and conditions may apply to purchases of materials and to specific portions or features of the Site, including contests, promotions, or other similar features, all of which terms are part of these Terms of Use by this reference. You agree to abide by such additional terms and conditions. If there is a conflict between these Terms of Use and the terms posted for or applicable to a specific portion of the Site or for any service offered on or through the Site, the latter terms shall control with respect to you use of that portion of the Site or the specific service.

10. PASSWORDS AND SECURITY

Certain features or services offered on or through the Site require you to open an account on www.parishpix.com. You are entirely responsible for maintaining the confidentiality of the information you hold for your account, including your password, and for any and all activity that occurs under your account as a result of your failure to keep this information secure and confidential. You agree to notify Parish Pix, LLC immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Parish Pix, LLC or any other user of or visitor to the Site due to someone else using your Parish Pix, LLC ID, password or account as a result of you failing to keep your account information secure and confidential. You may not use anyone else's Parish Pix, LLC ID, password or account at any time without the express permission and consent of the holder of that Parish Pix, LLC ID, password or account. Parish Pix, LLC shall not be liable for any loss or damage arising for your failure to comply with these obligations.

11. PAYMENT

All products must be paid at photo delivery unless agreed otherwise with Parish Pix, LLC. Payment can only be done by credit cards: Visa Card, Master Card, Discover Card, and American Express. Payment must be received online at checkout or by other means agreed upon by Parish Pix, LLC in order for you to view, use or publish images from Parish Pix, LLC. Payment options may be changed at any time at Parish Pix, LLC's discretion. You authorize all debit or credit card transactions on the www.parishpix.com site. Your authorization permits us to: (a) debit or credit your Balance, a Bank Account, any credit card, debit card, or other payment cards that we accept ("Cards"), or any other payment method we accept, or (b) process payment transactions that you authorized by generating a paper draft of an electronic funds transfer.

In the event of a chargeback you owe us and will immediately pay us the amount of the chargeback and any associated fees, fines, or penalties. You agree to assist us when requested, at your expense, to investigate any or your transactions processes through the Service.

You agree to pay any applicable fees whenever you use our Service. We reserve the right to change our fees at any time, including without limitation if we determine you are incurring excessive chargebacks. All Fees are charged at the time we process a transaction. You also agree to pay all costs and expenses associated with collection in addition to the amount collected, including without limitation any applicable interest, actual attorney's fees, court cost, collection agency fees, and other legal expenses.

12. DISCLAIMERS

Parish Pix, LLC does not promise that the site or any content, service or feature of the site will be error-free or uninterrupted, or that any defects will be corrected, or that your use of the site will provide specific results. The site and its content are delivered on an "as-is" and "as-available" basis. All information provided on the site is subject to change without notice. Parish Pix, LLC cannot ensure that any files or other data you download from the site will be free of viruses or contamination or destructive features. Parish Pix, LLC disclaims any and all liability for the acts, omissions and conduct of any third parties in connection with or related to your use of the site and/or any Parish Pix, LLC services. You assume total responsibility for your use of the site and any linked sites.

The above disclaimer applies to any damages, liability or injuries caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction of or unauthorized access to, alteration of, or use, whether for breach of contract, tort, negligence or any other cause of action.

Parish Pix, LLC reserves the right to do any of the following, at any time, without notice: (1) to modify, suspend or terminate operation of or access to the Site,, or any portion of the Site, for any reason; (2) to modify or change the Site, or any portion of the Site, and any applicable policies or terms; and (3) to interrupt the operation of the Site, or any portion of the Site, as necessary to perform routine or non-routine maintenance, error correction or other changes.

13. VIOLATION OF THESE TERMS OF USE

Parish Pix, LLC reserves the right at all times to disclose any information that Parish Pix, LLC deems necessary to comply with any applicable law, regulation, legal process or governmental request. Parish Pix, LLC also may disclose your information when Parish Pix, LLC determines that applicable law requires or permits such disclosure, including exchanging information with other companies and organizations for fraud protection purposes.

You agree that Parish Pix, LLC may, in its sole discretion and without prior notice, terminate your access to the Site and/or block your future access to the Site if we determine that you have violated these Terms of Use or other agreements or guidelines which may be associated with your use of the Site. You also agree that any violation by you of these Terms of Use will constitute an unlawful and unfair business practice, and will cause irreparable harm to Parish Pix, LLC, for which monetary damages would be inadequate, and you consent to Parish Pix, LLC obtaining any injunctive or equitable relief that Parish Pix, LLC deems necessary or appropriate in such circumstances. These remedies are in addition to any other remedies Parish Pix, LLC may have at law or in equity.

If Parish Pix, LLC does take any legal action against you as a result of your violation of these Terms of Use, Parish Pix, LLC will be entitled to recover from you, and you agree to pay, actual attorney's fees and court costs of such action, in addition to any other relief granted to Parish Pix, LLC.

14. GOVERNING LAW AND VENUE

This agreement is governed by Louisiana law. The venue for any litigation arising out of this agreement or contract between Parish Pix, LLC and Client shall be filed in the 15th Judicial District Court in Lafayette Parish, Louisiana.

15. MODIFICATIONS

Parish Pix, LLC reserves the right, at its sole discretion, to change, modify, and or remove portions of these Terms of Use periodically for changes. Your continued use of the Site following the posting of changes will mean that you accept and agree to the changes.

16. SEVERABILITY

If a Court of competent jurisdiction should invalidate any portion of these Terms of Use, it shall not invalidate any other portion, which shall remain in full force and effect.
